1. Introduction and Overview

Welcome to Casterr. Please read these Terms and Conditions ("Terms" or "Agreement") carefully. This Agreement affects your legal rights and obligations.

Casterr, Inc. ("Casterr," "Company," "we," "us," or "our") is a Delaware corporation that operates the Casterr creator affiliate platform accessible at www.casterr.co and related services (collectively, the "Services" or "Platform").

By accessing or using any portion of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.

2. Eligibility

You must be at least 18 years of age to use the Services. The Services are currently available only to residents of the United States. Only one account is permitted per person.

3. Account Registration and Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate your account at any time for violation of these Terms.

4. How the Platform Works

The Platform allows you to generate unique, trackable affiliate links to products offered by our Brand Partners. When a consumer clicks your Link and makes a qualifying purchase, you may earn a commission.

4.4 Revenue Share

The current default revenue share is 75% to you and 25% to Casterr.

CASTERR RESERVES THE RIGHT TO MODIFY THE REVENUE SHARE PERCENTAGE AT ANY TIME, IN ITS SOLE DISCRETION, WITH OR WITHOUT NOTICE. Changes may apply to all future commissions, including commissions on sales made through Links generated prior to the change.

5. Earnings and Payouts

Commissions remain in Pending status for a lock period of 30 to 90 days. You must accumulate at least $25.00 in approved Earnings before you can request a payout.

YOU ARE SOLELY RESPONSIBLE FOR ALL TAXES ASSOCIATED WITH YOUR EARNINGS.

YOU HAVE NO PROPERTY RIGHT IN ANY PENDING OR UNPAID EARNINGS UNTIL ACTUALLY DISBURSED. All Earnings shall be IMMEDIATELY AND PERMANENTLY FORFEITED upon account termination, violation of Terms, or 12 months of inactivity.

6. Prohibited Activities

You may not: generate fake clicks or sales, use bots or automated tools, create multiple accounts, self-purchase through your Links, engage in cookie stuffing, send spam, or misrepresent products or Casterr.

7. Required Affiliate Disclosures (FTC Compliance)

You acknowledge that the Services generate affiliate commissions and that the Federal Trade Commission's Endorsement Guides (16 CFR Part 255) require you to clearly and conspicuously disclose your material connection to Casterr and the relevant merchant in all content featuring affiliate links obtained through the Platform. You agree to:

• Include a clear written disclosure such as "#ad," "#affiliate," "paid link," or substantially equivalent language in all written content (captions, show notes, blog posts, emails, newsletters, etc.);
• Verbally disclose the affiliate relationship in audio and video content at or near the first mention of any Casterr-generated link;
• Never use disclosures that are hidden, ambiguous, buried in hashtags, or placed where a reasonable audience member would not see them;
• Comply with all applicable platform-specific disclosure policies (e.g., Instagram's Paid Partnership tool, YouTube's paid product placement disclosure, TikTok's branded content toggle);
• Refrain from making false, misleading, or unsubstantiated claims about any product featured through affiliate links.

Violation of this Section is a material breach of these Terms. Casterr may, at its sole discretion, suspend or terminate your account, void any pending or unpaid commissions, and cooperate with regulatory authorities. You agree to indemnify, defend, and hold harmless Casterr from any claim, investigation, fine, or liability arising from your failure to make required disclosures.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CASTERR MAKES NO GUARANTEES REGARDING YOUR POTENTIAL EARNINGS OR THAT ALL TRANSACTIONS WILL BE TRACKED.

11. Limitation of Liability

CASTERR SHALL HAVE NO LIABILITY FOR ANY FAILURE TO TRACK, ATTRIBUTE, OR PAY COMMISSIONS. CASTERR'S TOTAL LIABILITY SHALL NOT EXCEED $50.00 OR 3 MONTHS OF EARNINGS, WHICHEVER IS LESS. IN NO EVENT SHALL CASTERR BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Release and Waiver

YOU HEREBY RELEASE AND WAIVE ALL CLAIMS AGAINST CASTERR ARISING FROM YOUR USE OF THE SERVICES, INCLUDING CLAIMS RELATED TO UNPAID EARNINGS, TRACKING ERRORS, OR RATE CHANGES.

14. Dispute Resolution

All disputes shall be resolved by binding arbitration. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS. These Terms are governed by Delaware law.
